Terms of Service

These Terms of Service ("Terms") govern access to and use of Filepad, a product of Filepad, Inc., a Delaware corporation ("Filepad," "we," "us"). By creating an account or using Filepad, you agree to these Terms. If you are using Filepad on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. The service

Filepad is a workspace for AI-assisted document work. It lets you create, edit, and version documents ("artifacts"), converse with an in-app AI assistant that can read and edit those artifacts, and connect external agents to a workspace under scoped, revocable access keys.

Some actions Filepad or a connected agent takes on your content require your explicit approval before they take effect. Others apply immediately. We describe this in more detail in our documentation.

2. Accounts

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for activity that occurs under your account, including actions taken by agents you connect to it.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use Filepad. Filepad is not directed at children, and we do not knowingly collect personal information from anyone under 16.

3. Subscriptions and billing

Paid plans are billed in advance on a recurring basis (monthly, unless stated otherwise) through our payment processor, Stripe. You authorize us to charge your payment method for all fees associated with your plan.

You can upgrade, downgrade, or cancel a subscription at any time from your account settings. Upgrades and downgrades take effect immediately, and charges are prorated. Cancelling stops future billing; it does not retroactively refund the current billing period unless required by law.

If a payment fails, we may suspend access to paid features until the balance is resolved. We may change our prices with notice; continued use after a price change takes effect constitutes acceptance of the new price.

4. Acceptable use

You agree not to use Filepad to:

  • Upload or process content you don't have the right to use
  • Violate any applicable law, or the intellectual property or privacy rights of others
  • Attempt to circumvent scope restrictions, rate limits, or approval requirements built into Agent Access or the MCP interface
  • Probe, scan, or attempt to gain unauthorized access to another workspace or account
  • Interfere with the availability or integrity of the service, including through excessive automated requests
  • Reverse-engineer the service except to the extent applicable law prohibits this restriction

We may suspend or terminate accounts that violate these Terms, with notice where practical.

5. Your content

You retain ownership of the documents, files, and other content you upload or create in Filepad ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to provide and improve the service to you — including sending relevant content to the AI providers described in our Privacy Policy when you use FilepadAI or a connected agent.

We do not use Your Content to train our own models. See our Privacy Policy for how third-party AI providers handle content during processing.

6. Agents and automation

If you connect an external agent or automated process to your workspace using an Agent Access key, you are responsible for that agent's actions as if you performed them yourself, including any writes it makes within the scopes you granted it. Scope your keys narrowly, and revoke them promptly when they're no longer needed.

7. Termination

You may delete your account at any time from account settings. Account deletion begins a grace period during which you can cancel the request; after the grace period, your data is permanently deleted according to the retention schedule described in our Privacy Policy.

We may suspend or terminate your access if you materially breach these Terms, or as required by law.

8. Disclaimers

Filepad is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated content may be inaccurate or incomplete — you are responsible for reviewing outputs before relying on them, which is why higher-risk changes require your approval before they land.

9. Limitation of liability

To the maximum extent permitted by law, Filepad, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the service. Our total liability for any claim arising from these Terms or the service will not exceed the amount you paid us in the twelve months before the claim arose.

10. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the product before the changes take effect. Continued use of Filepad after changes take effect constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except where applicable consumer-protection law requires otherwise.
